Advised on the spin-off and independent commercial establishment of a chocolate manufacturing facility from a larger corporate group in Kuwait. The mandate covered the full separation lifecycle and commercial repositioning of the standalone entity.

Key Activities

Conducted comprehensive financial analysis of the proposed spin-off and presented findings to senior management to support the Go/No-Go decision.

Developed the sales deck and supporting materials for the divested entity.

Identified and engaged prospective buyers.

Led deal negotiations through to close, including structuring and finalizing sales contracts.

Managed a seamless handover of the divested entity, overseeing all associated legal and structural changes.
